Question Upgrade to XP and updating NIC drivers is not possible at the same time

I have Compaq Evo D300 "1595" MHZ with Network card: Intel(R) PRO/100 VM Network Connection.

I need to have unattended upgrade from W2k to Windows XP.

The problem is: after finishing upgrade using parameter "NTUPGRADE = Yes" it asks for NIC for Windows XP driver.(not fully unattended)

I tried to add parameter "OEMPreInstall=Yes" to the unattended.txt file with $OEM$\$1 folder which contains the XP driver files for NIC .

I got from Microsoft that parameters NTUPGRADE & OEMPreInstall cant have Yes value at the same time.

Please how I can have unattended upgrade to XP 100% i.e. it will also update the NIC driver or select a generic adapter ???
