still a no go...but i'm done messing with it tonight...thanks guys...if anyone has anymore ideas i'll try them out tomorrow...i appreciate it all!!!!!

Open up the registry (regedit.exe) and navigate to the following registry keys and verity that the following settings are set to the default:

[HKEY_CURRENT_USER\Software\Microsoft\Windows\Curre ntVersion\Policies\System]
"DisableTaskMgr"=dword:00000000

[HKEY_CURRENT_USER\Software\Microsoft\Windows\Curre ntVersion\Group Policy Objects\LocalUser\Software\Microsoft\Windows\Curre ntVersion\Policies\System]
"DisableTaskMgr"=dword:00000000

[HKEY_LOCAL_MACHINE\SOFTWARE\Microsoft\Windows\Curr entVersion\policies\system\]
"DisableTaskMgr"=dword:00000000

[HKEY_LOCAL_MACHINE\SOFTWARE\Microsoft\Windows NT\CurrentVersion\Winlogon]
"DisableCAD"=dword:00000000

the problem was here:

[HKEY_CURRENT_USER\Software\Microsoft\Windows\Curr
entVersion\Policies\System]
"DisableTaskMgr"=dword:00000000

had a value of 1...changed it and all is well now...I appreciate the help guys!!!! MUCH THANKS AND MANY KUDOS!!!!!
