It looks like your nVidia control panel stuff. If you've got a nV card. I'd keep them running, if not. I don't think it'd hurt to shut them off.

i have an Nvidia, but i don't think it would make a differnce if I do not load them because I don't use any special features...i'll try it

yeah, just disable them. Its not spyware, its nvidia controll panel crap. Unless you REALLY want it, just uncheck it.

In your services, (services.msc) if there is an item called NVIDIA Driver Helper Service..you can Disable it because it helps with the Bootup and Shut down.
