Its ok, but wait until after the 22 so you can get a quad core. (Price Drop)
I would also look into the MX-1 thermal Pads for cooling instead of AS5.

Wheres the Heatsink?
I listed them from best to acceptable (IMO Of course)

Thermal Right 120 Ultra Extreme
Tuniq Tower
Scythe Mine
Artic Cooling Freezer 7 Pro
Scythe Ninja
Zalman CNPS9500

There will come a day, such a day when all will be told more than they wish to know, what one hears may explain the past, it may explain the future, but it has never made a difference either way and it will change nothing. Some day.... But that is not this day, and I don't know when, I just don't know.

I dunnue the exact Price. In fact let me check on that...
If not get a E6420...
Trust me, you WILL Want an aftermarket Heatsink.

You say that now, and you will pay for it later....
Just get an aftermarket HS, one of the one I suggested. You will want to OC farther.. Trust me, DON't make the same mistake I once did!!!!

could you please post a few links so i know what to look for
i wasnt planning $80 on Cooling?
the fan+heatsink(which you think wont work) already is $40
so if there is a good fan+heatsink combo for under $50 it would be appreciated

Petra's Tech Shop - Tuniq 120

I'd get this ram instead:
Newegg.com - G.SKILL 2GB (2 x 1GB) 240-Pin DDR2 SDRAM DDR2 800 (PC2 6400) Dual Channel Kit Desktop Memory - Retail

Are you talking about the heatsink? The Tuniq is much more worth it...and yes, it will fit.

For overclocking, this board will be better, compared to that EVGA 650i:
