Default How far to upgrade?

I currently have a 3.2 P4 prescott with 1gb of DDR400 RAM, and I want to add more RAM than I started thinking why add old RAM? So then I got to looking at DDR2 and of course that means a new mobo also, then of course I started to look at C2D and I was sold, but then I looked at the price tag and took a step back to whether it would be worth my while to upgrade everything or just add more RAM, or I could go a middle road and just move my P4 to the new mobo until I'm ready to buy a C2D (this is what I'm leaning towards right now). And if I should upgrade my mobo (~$125 or less) which one and what memory (~$125 per gig or less) should I get? Thanks!
