Question Will it work?

As the title suggests;

CPU - Intel Core 2 Quad Q6600 Kentsfield 2.4GHz 2 x 4MB Cache
GPU - EVGA GeForce 8800GTS SSC 640MB GDDR3 SLI Supported
MoBo - Gigabyte GA-MA69GM-S2H
RAM - OCZ Platinum Revision 2 2GB (2 x 1GB) 240-Pin DDR2 SDRAM (x2)
Case - CoolerMaster Centurion 5 Case 430W PSU
Optical - Samsung DVD+RW CD+RW
HDD - Seagate 500GB 7200 RPM 16MB Cache SATA 3.0Gb/s

Is there any problems with this?
It'll all work together?

Last time I did something like this I needed a new motherboard... =[

Your motherboard you selected is an AM2 AMD board. You'll want a LGA775 one, preferably the P35 chipset. This one would be *MUCH* better for you:
Newegg.com - GIGABYTE GA-P35-DS3L LGA 775 Intel P35 ATX Intel Motherboard - Retail

I also suggest Crucial Ballistix for your RAM instead:
Newegg.com - Crucial Ballistix 2GB (2 x 1GB) 240-Pin DDR2 SDRAM DDR2 800 (PC2 6400) Dual Channel Kit Desktop Memory - Retail

Get an 8800GT instead of the 8800GTS. It's better and cheaper.

Then you'll still need to get a Power Supply.

and don't just view the power on the power supply- if you plan to Sli and stuff you need good amps on the 12v rails, look for them listed like '+12v1, +12v2' with amp ratings beside them.

You can find real good PSU for real cheap- about 50 bucks- with about 30a on rails. (which is more then most people need)
