Default Retail vs. OEM

I'm stuck at the moment between an OEM and a retail processor. I'm looking at the Intel Core 2 Duo E6400 2.13GHz. The price difference is about $25, considerable with my buget. As far as I know the only difference between the OEM and Retail should be packaging, but I'd like to confirm this. I'll link to the two product pages: Retail / OEM

Actually the OEM CPU comes w/o heatsink and fan. You will spend a lot more than $25 if you buy the heatsink and fan separately.

I see, you're right - I remember one of the reps. telling me the OEMs come with fans, but upon sniffing around the product page, I found this one doesn't. Thanks!
