Unhappy Upgrading motherboard and videocard. Help decide.

Ok right now you can see my specs in my sig, but i am currently using a socket 939 gigabyte mobo with AGP. I want to go pci express, and i ahve got liek $200 to do that. The thing is I am going to need a motherboard and a decent videocard for under $200.

I just bought battlefield 2142 and i can play find on medium, but with some lag, and low fps. My plan is to get a new mobo and videocard now, and then later get a dual core opty to go with it, and just stick with that. So what do you guys think would be good for a $200 budget?

I want a mobo that will be good for o/cing since my mobo now can't and i want to take advantage of my athlon 64 3000+ whiel i have it.

Thanx for your opinions.
