    Because cpu's and heatsinks are not perfectly flat, there are concaves and convexs and tiny imperfections where they will not contact each other, and you need something to fill that gap.     Stay away from the 8800GTS 640MB. The 640MB means it's an older g80 core card. A 8800GTS 512MB has the g92 core and is a much better card. Better than the 9600, but for the price the 9600 is a good card to get. 9600 is a g92 core as well.

    No, the GPU ram has nothing to do with mobo specs. You can get a vid card with DDR3 on it no problem If a mobo supports DDR2 1200, it will support all DDR2 that is slower than that, DDR2 1066, DDR2 800, etc.
